These Terms & Conditions for Shravyom Technologies LLP ("Company", "we", "us", or "our") govern your access to and use of Wydely, our WhatsApp CRM, automation, chatbot, marketing, customer support, and business communication platform.
By accessing our website, dashboard, mobile application, web application, APIs, or any other service related to Wydely, you agree that you have read, understood, and agreed to be bound by these Terms & Conditions.
If you do not agree with these Terms, you must not use Wydely.

1. Our Services
Wydely is a software platform that helps businesses manage WhatsApp-based customer communication, CRM activities, automation workflows, chatbot flows, broadcasts, campaigns, customer support, and related business messaging operations.
Our services may include:
- WhatsApp CRM dashboard
- Contact and customer management
- WhatsApp chatbot and automation flows
- Broadcast and campaign management
- Message template management
- Customer conversation inbox
- Team member access and role management
- Analytics and reports
- Integrations with third-party platforms
- APIs and webhook-based communication
- Payment, billing, subscription, and usage management
We may add, modify, suspend, or discontinue any feature of Wydely at any time.
2. Eligibility
By using Wydely, you confirm that:
- You are at least 18 years old, or you are using the service under the supervision of a parent, guardian, or authorized business representative.
- You have the legal authority to accept these Terms on behalf of yourself or the business you represent.
- Your use of Wydely will comply with all applicable laws, rules, and regulations.
- You will not use Wydely for any unlawful, fraudulent, misleading, harmful, or unauthorized purpose.
Wydely is intended for business and commercial use. It is not intended for children.
3. Changes to These Terms
We may update, modify, or replace these Terms & Conditions from time to time.
Any changes will be effective when posted on our website, dashboard, or platform. The "Last updated" date will indicate when the latest changes were made.
Your continued use of Wydely after any update means you accept the revised Terms.
4. User Accounts
To use Wydely, you may be required to create an account and provide accurate information, including your name, business name, email address, phone number, and billing details.
You agree to:
- Provide true, accurate, complete, and current information.
- Keep your account details updated.
- Maintain the confidentiality of your login credentials.
- Accept responsibility for all activities under your account.
- Immediately notify us of any unauthorized access or security breach.
We are not responsible for losses caused by unauthorized use of your account due to your failure to secure your login credentials.
5. Business and Customer Data
You may upload, store, process, or manage customer data through Wydely, including names, phone numbers, WhatsApp numbers, tags, messages, notes, files, campaign data, and conversation history.
You represent and warrant that:
- You have the required consent or lawful basis to collect, upload, process, and use such customer data.
- Your use of customer data complies with applicable data protection, telecom, marketing, and privacy laws.
- You will respect opt-outs, unsubscribe requests, and customer communication preferences.
- You will not upload data that you are not legally authorized to use.
You remain responsible for the accuracy, legality, and use of customer data uploaded or managed through Wydely.
6. WhatsApp, Meta, and Third-Party Platform Compliance
Wydely may integrate with WhatsApp Business APIs, Meta APIs, BSPs, payment gateways, cloud providers, and other third-party services.
Your use of Wydely must comply with:
- WhatsApp Business Terms
- Meta Platform Terms
- WhatsApp Commerce Policy
- WhatsApp Business Messaging Policy
- Applicable template, opt-in, opt-out, and consent rules
- Any third-party service terms applicable to your usage
- Applicable laws and regulations
You understand that Meta, WhatsApp, BSPs, or other third-party providers may approve, reject, suspend, restrict, or disable your templates, campaigns, phone numbers, business accounts, or messaging access.
Shravyom Technologies LLP is not responsible for restrictions, suspensions, rejections, policy changes, delivery failures, or account-level actions taken by Meta, WhatsApp, BSPs, or other third-party providers.
7. Subscriptions, Payments, and Billing
Some Wydely services may require payment of subscription fees, usage fees, setup fees, add-on fees, messaging credits, WhatsApp conversation charges, or other charges.
By purchasing a paid plan or service, you agree to:
- Provide accurate billing and payment information.
- Pay all applicable fees, taxes, and charges.
- Authorize us or our payment partners to charge your selected payment method.
- Keep your payment details updated.
- Pay recurring charges where your plan is subscription-based.
Prices may be changed at any time. Any price changes will apply according to the billing terms communicated to you or displayed on the platform.
Payments may be processed by third-party payment providers. We are not responsible for payment failures, bank delays, payment gateway downtime, or charges imposed by payment processors.
8. Free Trial, Free Plan, or Demo Access
Wydely may offer a free trial, demo account, limited free plan, or promotional access at our discretion.
We may modify, limit, suspend, or discontinue any free plan, trial, demo, or promotional access at any time.
Free trial or demo access does not guarantee continued free usage. To continue using paid features, you may be required to upgrade to a paid plan.
9. Cancellation
You may cancel your subscription at any time by using the platform settings, contacting support, or following the cancellation process provided by us.
Cancellation will usually take effect at the end of the current billing cycle.
You will continue to have access to the paid plan until the end of the active billing period unless otherwise specified.
Cancellation does not automatically delete your account or data. You may separately request data deletion as per our Privacy Policy.
10. Refunds
Refunds are governed by our Refund Policy.
In general, Wydely subscription fees, WhatsApp messaging charges, conversation credits, usage charges, setup fees, custom development fees, add-ons, and third-party service charges are non-refundable once activated, consumed, provisioned, or billed.

11. User Content
You may upload or submit content to Wydely, including text, images, videos, files, templates, message content, chatbot flows, campaign content, automation logic, and customer communication data.
You retain ownership of your content. However, by submitting or uploading content to Wydely, you grant Shravyom Technologies LLP a limited, non-exclusive, worldwide license to host, store, process, transmit, display, reproduce, and use such content only as necessary to provide and improve the services.
You are solely responsible for ensuring that your content:
- Does not violate any law.
- Does not infringe intellectual property rights.
- Does not contain unlawful, harmful, defamatory, obscene, abusive, fraudulent, misleading, or spam content.
- Complies with WhatsApp, Meta, and third-party platform policies.
We may remove or restrict content if we believe it violates these Terms, applicable laws, or third-party platform policies.
12. Intellectual Property Rights
All rights, title, and interest in Wydely, including software, source code, design, user interface, workflows, documentation, branding, logos, trademarks, graphics, APIs, and platform features, belong to Shravyom Technologies LLP or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Wydely for your internal business purposes in accordance with these Terms.
You may not:
- Copy, modify, reverse engineer, or create derivative works of Wydely.
- Sell, rent, lease, sublicense, distribute, or commercially exploit Wydely without permission.
- Remove copyright, trademark, or proprietary notices.
- Use our branding, logo, or trademarks without written permission.
- Attempt to extract source code or bypass platform restrictions.
13. Prohibited Activities
You agree not to use Wydely for any unlawful, harmful, abusive, or unauthorized purpose.
You must not:
- Send spam, unsolicited messages, or unauthorized promotional communications.
- Use customer data without valid consent.
- Violate WhatsApp, Meta, telecom, privacy, or marketing laws.
- Upload or transmit malware, viruses, or harmful code.
- Attempt to hack, overload, disrupt, or damage Wydely or related infrastructure.
- Circumvent security, rate limits, access controls, or billing systems.
- Use automated scraping, crawling, or data extraction without permission.
- Misrepresent your identity, business, products, or services.
- Send fraudulent, deceptive, illegal, hateful, obscene, abusive, or misleading content.
- Use Wydely for gambling, illegal products, weapons, adult content, regulated goods, or any restricted category prohibited by applicable laws or platform policies.
- Resell, white-label, or commercially exploit Wydely without written authorization.
- Interfere with other users' use of the platform.
- Use Wydely to compete with Shravyom Technologies LLP or develop a similar product using our platform, design, APIs, workflows, or documentation.
We reserve the right to suspend or terminate accounts that violate these restrictions.
14. APIs and Integrations
Wydely may provide APIs, webhooks, integrations, and developer tools.
You agree to use APIs and integrations responsibly and in accordance with our documentation, rate limits, security requirements, and applicable laws.
We may suspend API access if we detect misuse, excessive traffic, security risks, policy violations, or activity that may harm Wydely, our users, or third-party platforms.
You are responsible for securing API keys, tokens, credentials, and webhook endpoints.
15. Third-Party Services
Wydely may include or integrate with third-party websites, services, APIs, payment gateways, cloud providers, analytics tools, CRMs, Meta, WhatsApp, or BSP providers.
We do not control third-party services and are not responsible for:
- Their availability or performance.
- Their privacy practices.
- Their pricing or billing changes.
- Their service interruptions.
- Their policy decisions.
- Their approval, rejection, suspension, or restriction of your account, templates, messages, or campaigns.
Your use of third-party services is governed by their own terms and policies.
16. Privacy
Your use of Wydely is also governed by our Privacy Policy.
By using Wydely, you agree that we may collect, use, store, process, and share information as described in our Privacy Policy.
You are responsible for ensuring that your customers are informed about how their data is processed when you use Wydely to communicate with them.
17. Data Security
We use reasonable technical and organizational safeguards to protect data processed through Wydely.
However, no electronic transmission, storage system, or internet-based service is completely secure.
You are responsible for:
- Keeping your login credentials secure.
- Managing team access properly.
- Using strong passwords.
- Protecting API keys and tokens.
- Ensuring your own systems and devices are secure.
- Immediately reporting suspected unauthorized access.
18. Service Availability
We aim to keep Wydely reliable and available. However, we do not guarantee uninterrupted, error-free, or always-available service.
Service may be affected by:
- Maintenance
- Updates
- Technical issues
- Cloud infrastructure downtime
- Internet failures
- Third-party service outages
- Meta, WhatsApp, or BSP-related issues
- Security incidents
- Force majeure events
We are not liable for downtime, message delivery delays, failed campaigns, missed leads, business loss, or other issues caused by service interruption or third-party dependency.
19. Disclaimer of Warranties
Wydely is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Shravyom Technologies LLP disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.
We do not guarantee that:
- Wydely will meet all your business requirements.
- WhatsApp messages will always be delivered.
- Campaigns will achieve specific results.
- Templates will always be approved by Meta or WhatsApp.
- The platform will be error-free or uninterrupted.
- Any data, reports, or analytics will always be complete or accurate.
20. Limitation of Liability
To the maximum extent permitted by law, Shravyom Technologies LLP, its partners, officers, employees, contractors, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
This includes, without limitation:
- Loss of profits
- Loss of revenue
- Loss of business
- Loss of customers
- Loss of goodwill
- Loss of data
- Message delivery failure
- Campaign failure
- WhatsApp account restriction
- Meta policy action
- Third-party service failure
- Business interruption
Our total liability for any claim related to Wydely shall not exceed the amount paid by you to Shravyom Technologies LLP for the specific service giving rise to the claim during the one month immediately preceding the event.
21. Indemnification
You agree to defend, indemnify, and hold harmless Shravyom Technologies LLP, its partners, employees, contractors, affiliates, officers, and agents from and against any claims, damages, liabilities, losses, costs, and expenses arising from:
- Your use of Wydely.
- Your violation of these Terms.
- Your violation of applicable laws.
- Your violation of WhatsApp, Meta, or third-party platform policies.
- Your customer communications.
- Your uploaded content or customer data.
- Your failure to obtain consent from customers.
- Your infringement of third-party rights.
- Any dispute between you and your customers.
22. Suspension and Termination
We may suspend, restrict, or terminate your access to Wydely at any time if:
- You violate these Terms.
- You fail to pay applicable fees.
- Your use creates security, legal, reputational, or operational risk.
- You misuse WhatsApp, Meta, or third-party services.
- Your account is involved in spam, fraud, abuse, or unauthorized activity.
- Required by law, regulator, court order, or third-party platform.
Upon termination, your right to use Wydely will immediately cease.
We may retain certain information as required by law, for dispute resolution, fraud prevention, accounting, backup, compliance, or legitimate business purposes.
23. Force Majeure
Shravyom Technologies LLP will not be liable for delay, failure, downtime, or non-performance caused by events beyond our reasonable control, including:
- Natural disasters
- Internet failures
- Cyberattacks
- Government actions
- War or civil unrest
- Strikes or labor disputes
- Power failures
- Cloud provider outages
- Meta, WhatsApp, BSP, or third-party service outages
- Legal or regulatory restrictions
24. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.
Subject to applicable law, the courts located in India shall have jurisdiction over disputes arising from or related to these Terms or your use of Wydely.
You may replace this section with your preferred registered jurisdiction city, such as Gurugram, Delhi, Noida, Bengaluru, Mumbai, or another applicable city, based on your LLP registration and legal preference.
25. Dispute Resolution
In case of any dispute, both parties shall first attempt to resolve the issue through good-faith discussions.
If the dispute cannot be resolved amicably, it may be referred to arbitration or handled through competent courts in accordance with applicable Indian laws.
The language of proceedings shall be English, unless otherwise required by law.
26. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to remain valid and enforceable.
The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
27. No Waiver
Our failure to enforce any right or provision under these Terms shall not be considered a waiver of such right or provision.
Any waiver must be in writing and signed by an authorized representative of Shravyom Technologies LLP.
28. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations to an affiliate, successor, acquirer, or in connection with a merger, acquisition, restructuring, or sale of assets.
29. Entire Agreement
These Terms & Conditions, together with our Privacy Policy, Refund Policy, and any plan-specific or service-specific terms, constitute the entire agreement between you and Shravyom Technologies LLP regarding your use of Wydely.
