These Terms & Conditions govern your access to and use of Wydely — our WhatsApp CRM, automation, chatbot, marketing, customer support and business communication platform, operated by Shravyom Technologies LLP. By using Wydely you agree to be bound by these Terms. If you do not agree, please do not use Wydely.
1. Our Services
Wydely helps businesses manage WhatsApp-based customer communication: CRM dashboard, contact management, chatbot & automation flows, broadcasts and campaigns, template management, a shared conversation inbox, team roles, analytics, integrations, APIs/webhooks, and billing & usage management.
We may add, modify, suspend or discontinue any feature at any time.
2. Eligibility
You confirm you are at least 18 (or supervised by an authorised representative), have the authority to accept these Terms, and will use Wydely only for lawful business purposes. Wydely is intended for business and commercial use.
3. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted, and your continued use means you accept the revised Terms.
4. User Accounts
You must provide accurate account information, keep it updated, keep your credentials confidential, and accept responsibility for all activity under your account. Notify us immediately of any unauthorised access.
5. Business & Customer Data
You may upload and manage customer data through Wydely. You confirm you have the required consent and lawful basis to do so, will respect opt-outs and unsubscribe requests, and will comply with applicable data-protection, telecom and marketing laws. You remain responsible for the data you manage.
6. WhatsApp, Meta & Third-Party Compliance
Your use must comply with WhatsApp Business Terms, Meta Platform Terms, the WhatsApp Commerce & Messaging Policies, and applicable consent rules. Meta/WhatsApp/BSPs may approve, reject, suspend or restrict templates, numbers or accounts, and we are not responsible for such third-party actions.
7. Subscriptions, Payments & Billing
Paid plans may include subscription, usage, setup, add-on or messaging charges. You agree to provide accurate billing details and pay all applicable fees and taxes. Prices may change per the billing terms shown to you. Payments are handled by third-party providers.
8. Free Trial, Free Plan or Demo
Wydely may offer a free trial, demo or limited free plan at our discretion, which we may modify or discontinue at any time. Continued use of paid features may require an upgrade.
9. Cancellation
You may cancel any time; cancellation usually takes effect at the end of the current billing cycle. Cancellation does not automatically delete your account or data.
10. Refunds
Refunds are governed by our Refund Policy. In general, subscription fees, messaging charges, credits, usage, setup fees and third-party charges are non-refundable once activated or consumed.
11. User Content
You retain ownership of the content you upload but grant us a limited licence to host, process and display it solely to provide the services. You are responsible for ensuring your content is lawful and compliant with platform policies.
12. Intellectual Property
All rights in Wydely (software, design, branding, APIs, features) belong to Shravyom Technologies LLP. You receive a limited, non-exclusive, non-transferable licence for internal business use, and may not copy, reverse-engineer, resell or exploit the platform without permission.
13. Prohibited Activities
No spam or unsolicited messaging, no use of data without consent, no malware, hacking, scraping or circumventing limits, no fraudulent or restricted-category content, and no reselling or building a competing product using our platform.
14. APIs & Integrations
Use our APIs and webhooks responsibly and per our documentation and rate limits. We may suspend access on misuse or security risk. You are responsible for securing your API keys and endpoints.
15. Third-Party Services
Wydely may integrate with third-party services (Meta/WhatsApp, BSPs, payment gateways, cloud, analytics). We do not control and are not responsible for their availability, pricing or policy decisions.
16. Privacy
Your use is also governed by our Privacy Policy. You are responsible for informing your customers how their data is processed when you use Wydely to communicate with them.
17. Data Security
We apply reasonable safeguards, but no system is completely secure. You are responsible for keeping credentials safe, managing team access, and reporting suspected unauthorised access.
18. Service Availability
We aim for reliable service but do not guarantee uninterrupted or error-free operation. We are not liable for downtime or delivery delays caused by maintenance, infrastructure or third-party outages.
19. Disclaimer of Warranties
Wydely is provided “as is” and “as available”. We disclaim implied warranties and do not guarantee message delivery, template approval, specific campaign results, or error-free operation.
20. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential damages. Our total liability shall not exceed the amount you paid for the specific service in the one month preceding the claim.
21. Indemnification
You agree to indemnify Shravyom Technologies LLP against claims arising from your use of Wydely, your breach of these Terms or laws, your customer communications, or your failure to obtain consent.
22. Suspension & Termination
We may suspend or terminate access for breach, non-payment, misuse, security/legal risk, or when required by law. On termination your right to use Wydely ceases immediately.
23. Force Majeure
We are not liable for failures caused by events beyond our reasonable control, including natural disasters, cyberattacks, government actions, power/cloud outages or third-party service outages.
24. Governing Law
These Terms are governed by the laws of India and, subject to applicable law, the courts of India shall have jurisdiction.
25. Dispute Resolution
Parties will first attempt to resolve disputes in good faith; unresolved disputes may be referred to arbitration or competent courts under Indian law, in English.
26. General
If any provision is unenforceable, the rest remain valid. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent. These Terms, with the Privacy and Refund Policies, form the entire agreement.
